TERMS AND CONDITIONS OF USE
COLBER – Financial decision assistant (Phase 1)

ARTICLE 1 – PURPOSE AND SCOPE
The purpose of these Terms and Conditions of Use (hereinafter the "TCU" or "Terms") is to define the terms of access and use of the Colber website and mobile Application (hereinafter the "Service").
Colber is a decision-support Application (phase 1) designed to provide generic financial analyses (Radar Module), risk management tools (Cockpit Module), and behavioral analyses (Labo Module), for strictly informative, educational, and analytical purposes.
ARTICLE 2 – IDENTITY OF THE PUBLISHER

ARTICLE 3 – DEFINITIONS
For the purposes of these Terms, the following definitions apply:
- Subscription: Refers to our subscription plans.
- Digital Assets: Means an asset consisting of digital data, the ownership or right of use of which is an element of the assets of a natural or legal person and which is stored or used in digital form. Digital assets are legally defined as:
- Tokens mentioned in Article L. 552-2 of the French Monetary and Financial Code (CMF), excluding those fulfilling the characteristics of financial instruments mentioned in Article L. 211-1 and savings bonds mentioned in Article L. 223-1 of the same code;
- Any digital representation of value that is not issued or guaranteed by a central bank or a public authority, which is not necessarily attached to a legal tender currency and which does not possess the legal status of a currency, but which is accepted by natural or legal persons as a means of exchange and which can be transferred, stored, or exchanged electronically. This definition is subject to change in accordance with developments in applicable law.
- Third-Party API (Application Programming Interface): Technical interfaces made available by external brokers, platforms, or exchanges.
- Application: Refers to the "COLBER" mobile software application, published by COLBER, downloadable from application stores (notably Apple App Store and Google Play Store) and installable on compatible mobile terminals (smartphones, tablets), allowing the User to access the Service.
- User Account: Means a unique and personal registered account allowing access to COLBER services on the Application. The identifier of a User Account is a valid and personal email address. A User Account is protected by a password that must respect the required format.
- Financial Data: Market data or portfolio data provided in read-only mode by the User.
- General Conditions or Terms (TCU): Corresponds to these general terms of use governing the Services applicable to all Users of COLBER. The TCU are available and downloadable on the Site and viewable on the Application. The Client must notably validate them when creating their User Account.
- User: Any natural person having full legal capacity, or any legal person acting through a natural person duly authorized to contract in their name and on their behalf.
- The User may have the status of: (i) consumer, understood as any natural person acting for purposes that do not fall within the scope of their professional activity, or (ii) non-professional, understood as any legal person acting outside their usual professional activities.
- Any natural or legal person acting for purposes falling within the scope of their commercial, industrial, craft, liberal, or agricultural activity, including when acting in the name or on behalf of another professional, is considered a professional. Users having the status of professional are invited to contact COLBER directly at the coordinates mentioned in the "Identity of the Publisher" article.
- Modules: Functional components of the Service (Radar, Cockpit, Labo).
- Service: Refers to the COLBER service.
- Site: Refers to the COLBER Website (available at https://www.google.com/url?sa=E&source=gmail&q=https://colber.app).
ARTICLE 4 – ACCEPTANCE OF THE TERMS
Access to the Service is subject to the express acceptance of these Terms. This acceptance is materialized by:
- the creation of an Account;
- the explicit validation of a checkbox during registration.
The User acknowledges having read the Terms and accepting them without reservation. To the extent that updates are notified to you and new versions are directly published on the Site and the Application, these Terms and their modifications are enforceable against you.
In this regard, the User acknowledges that any breach of the Terms may result in the suspension or termination of their User Account as well as the immediate refusal to use all or part of the Services.
ARTICLE 5 – ACCESS TO THE SERVICE AND ACCOUNT CREATION
Use of the Service requires the creation of a personal Account. The User undertakes to: (i) provide accurate, complete, and up-to-date information, (ii) preserve the confidentiality of their identifiers, (iii) not create an account on behalf of a third party without authorization.
The User is solely responsible for any activity carried out from their User Account.
ARTICLE 6 – CONDITIONS FOR OPENING A USER ACCOUNT
Access to the Colber Service is reserved for Users who have accepted these General Terms of Use without reservation. Acceptance of the Terms is materialized on the Site and/or the Application by checking the box provided for this purpose: "I accept the COLBER General Terms of Use", when creating the User Account. Acceptance of the Terms is an essential and determining condition for access to the Service. Consequently, any User who does not accept the Terms in their entirety must not access the Service or use it. Acceptance of the Terms is full and complete. Any acceptance subject to reservations is null and void.
6.1 Geographical eligibility conditions
The opening and maintenance of a User Account are subject to the fact that the User: (i) has their main residence in a country located within the European Union or the European Economic Area, or not appearing on a list of countries subject to international sanctions, (ii) is not a resident or national of a country subject to restrictions imposed by technical or regulatory service providers used by COLBER.
COLBER reserves the right, at any time and without notice, to refuse or close a User Account due to legal, regulatory, or technical constraints related to the User's country of residence or nationality. COLBER cannot be held liable for the consequences of a refusal to open or a closure of an Account for these reasons.
6.2 Uniqueness of the User Account
Each User undertakes to create only one User Account, for their strictly personal use. The creation of multiple accounts is prohibited, notably to prevent fraud and misuse of the Service. In case of non-compliance, COLBER reserves the right to delete, suspend, or merge the relevant Accounts, without notice or compensation.
6.3 Identifiers and security
Connection identifiers (email address, password, access code, or any other authentication device) are strictly personal and confidential. The User is solely responsible for maintaining the confidentiality of their identifiers as well as for any use of the Service made using them. Any connection or use of the Service made using the User's identifiers is deemed to be made by the latter. The User undertakes to inform COLBER immediately of any loss, theft, or unauthorized use of their Account.
6.4 Email address
The User ensures that the email address provided during registration is accurate, valid, and belongs to them. This address constitutes the main identifier of the Account and the preferred communication channel between COLBER and the User. The User acknowledges that in the event of an error in the email address provided, a third party could receive information relating to the Service, and releases COLBER from any liability in this regard.
ARTICLE 7 – SERVICE DESCRIPTION (PHASE 1)
The Service relies on a compartmentalized software architecture comprising:
7.1 "Radar" module – Signal engineering
Algorithmic analysis of market data (technical, semantic, macro-economic) to produce generic probabilistic scenarios, without personalized recommendation.
7.2 "Cockpit" module – Risk engineering
Simulation tools, exposure visualization, and position size calculations, based on parameters defined by the User.
7.3 "Labo" module – Behavioral analysis
Back-analysis tools aimed at detecting statistical cognitive biases (e.g., FOMO, over-exposure, post-loss reactions), for educational purposes.
The detailed characteristics of each offer are described on the Site, in the Application, and/or in the Subscription interfaces. The Services constitute decision-support tools and do not in any way constitute an investment advice, management, brokerage, or order execution service.
ARTICLE 7 BIS – DISCLAIMER – NO ADVICE
COLBER IS NOT AN INVESTMENT ADVISOR.
The User expressly acknowledges that:
- the Service provides no personalized investment advice;
- the analyses, scores, signals, and scenarios are generic, statistical, and non-individualized;
- the Service does not take into account the User's personal, patrimonial, fiscal situation or specific objectives;
- any investment decision is taken under the sole responsibility of the User.
COLBER guarantees no return, no performance, nor any financial result.
ARTICLE 8 – NON-CUSTODIAL ARCHITECTURE AND THIRD-PARTY APIS
COLBER is neither a bank, nor a broker, nor a custodian; it never holds the funds, assets, or financial instruments of Users and has no power to execute orders. Connections to third-party platforms are made exclusively in read-only mode via API. Colber has technically no capacity to initiate transactions, withdrawals, or transfers.
ARTICLE 9 – USER RESPONSIBILITY
The User is solely responsible for securing their API keys and third-party identifiers, for the accuracy of the data provided, and for the interpretation and use of the information delivered by the Service.
ARTICLE 10 – LIMITATION OF LIABILITY
COLBER cannot be held liable for financial losses, direct or indirect, investment decisions taken by the User, temporary interruptions of the Service, or malfunctions attributable to third-party services. In any event, COLBER's liability is strictly limited to the amount of sums actually paid by the User for their Subscription during the last twelve (12) months.
ARTICLE 11 – SUBSCRIPTIONS AND FINANCIAL CONDITIONS
11.1. General provisions
The Service is offered according to a free discovery version and paid Subscriptions. The rates, terms of billing, renewal, and termination are specified at the time of Subscription. The User can terminate their Subscription at any time from their personal space.
11.2. Subscription via App Store and Google Play
When the User subscribes to a COLBER Subscription via the Apple App Store or the Google Play Store, the management of the Subscription (payment, renewal, termination) is governed by the general conditions specific to Apple or Google. COLBER is not a party to the payment contract concluded between the User and the relevant platform. For any question relating to billing or the management of a Subscription subscribed via these platforms, the User is invited to contact Apple or Google directly.
11.3. Subscription via the Website
When the User subscribes to a COLBER Subscription via the Site, the management of the Subscription (payment, renewal, termination) is governed by these General Terms and secured by the payment provider Stripe. Unlike Subscriptions made via Application stores, the Subscription contract is here concluded directly between the User and COLBER. For any question relating to billing or the management of a Subscription subscribed via the Web, the User is invited to contact COLBER support directly.
11.4. Subscription terms for Services
Subscription to the various COLBER Services is done directly via the Site, via the Application, or via the Apple App Store or Google Play Store distribution platforms. Subscription occurs after acceptance of these Terms, selection of the offer and Subscription duration, and validation of payment. A confirmation email summarizing the Subscription conditions is sent to the User at the email address provided in their Account.
11.5. Subscription on behalf of a third party – Authorization
When the User subscribes to a Subscription on behalf of a third party, including a legal person, they declare and guarantee being duly authorized to act on their behalf. They guarantee COLBER against any claim, challenge, or action based on a lack of authorization or fraudulent use of the Services.
11.6. Price revision
COLBER reserves the right to modify the prices of these various Services at any time. The User will be informed of any price modification by any useful written means, notably by email. The new rates apply from their entry into force. The User who does not accept the new prices may terminate their Subscription in accordance with the termination terms provided for in these Terms. Failing termination, the User is deemed to have accepted the new rates.
11.7. Billing and payment terms
Premium Services are subject to billing per Subscription period. Payment is made by the payment methods offered on the Platform or through the applicable stores. The User guarantees having the necessary authorizations to use the selected payment method.
11.8. Default or late payment
In case of default or late payment, COLBER reserves the right, without prejudice to any other right:
- to immediately suspend access to Premium Services until full payment of the sums due;
- to apply interest at the legal rate;
- to pronounce the immediate exigibility of all sums due.
11.9. Tacit renewal – Legal information
In accordance with Article L.215-1 of the French Consumer Code, the Consumer User is informed of the terms of tacit renewal of their Subscription and the possibility of not renewing it within the legal deadlines. Failing compliant information, the User may terminate their Subscription free of charge at any time after the renewal.
11.10. Right of withdrawal
In accordance with applicable legal provisions, the Consumer User has a right of withdrawal of fourteen (14) days from the Subscription to Premium Services. To exercise this right, the User may contact COLBER at the coordinates indicated in the "Contact" article. In case of valid withdrawal, COLBER will proceed with the refund of the sums received within a maximum period of fourteen (14) days, using the same means of payment as that used during the Subscription, unless expressly agreed otherwise.

ARTICLE 12 – INTELLECTUAL PROPERTY
The entire Service, including algorithms, models, logos, interfaces, content, and trademarks, is protected by intellectual property law. Any unauthorized reproduction, extraction, or use is prohibited. Any total or partial representation of the Service by any process whatsoever, without express authorization from COLBER, would constitute an infringement sanctioned by Article L.335-2 et seq. of the Intellectual Property Code. It is recalled in accordance with Article L.122-5 of the Intellectual Property Code that the User who copies, reproduces, or publishes protected content must cite the author and their source. The data, strategies, and analysis histories provided by the User remain their exclusive property.
ARTICLE 13 – PERSONAL DATA
Personal data processing is carried out in accordance with the GDPR. Detailed terms appear in the Privacy Policy accessible from the Service.
ARTICLE 14 – EVOLUTION OF THE SERVICE
The User acknowledges that the Service is likely to evolve. Certain future functionalities may be subject to specific conditions or result in a modification of these Terms.
ARTICLE 15 – TERMINATION
COLBER reserves the right to suspend or delete an Account in case of violation of the Terms or fraudulent or abusive use of the Service. The User may delete their Account at any time.
ARTICLE 16 – APPLICABLE LAW
These Terms are governed by French law. Any dispute falls within the exclusive jurisdiction of the French courts.
ARTICLE 17 – OTHER STIPULATIONS
17.1. Nullity and independence of clauses
In the event that one of the provisions of these Terms should be deemed by a competent court to be null or unenforceable, in whole or in part, by virtue of the law, this provision shall, to the extent necessary, be deemed not to form an integral part of the Terms. Nevertheless, the legality, validity, and mandatory nature of the other provisions of the Terms shall remain fully in force and produce their effects.
17.2. Nullity of the Conditions
The nullity of one of the provisions of the Conditions does not entail the nullity of the entirety of these Terms.
17.3. Force majeure
Neither party may be held liable for a breach of its contractual obligations when such breach results from an event of force majeure, within the meaning of Article 1218 of the Civil Code, that is to say, an unforeseeable, irresistible event independent of its will.
- The affected party informs the other party as soon as possible of the occurrence of the force majeure event.
- If the force majeure event lasts for more than three (3) months, either party may terminate the contract automatically, without compensation, by written notification.
- When the impediment is partial, the concerned party remains bound to respect the unaffected obligations, notably its payment obligations.
- As soon as the force majeure event ends, the prevented party resumes the normal execution of its obligations within a reasonable time.
17.4. Registration on the do-not-call list
In accordance with Law No. 2014-344 of March 17, 2014, the User is informed that as a consumer within the meaning of the Consumer Code, they have the possibility to register for free on the telephone anti-solicitation list BLOCTEL (www.bloctel.gouv.fr) in order to no longer be solicited by telephone by a professional with whom they have no current contractual relationship.
17.5 Language
The language used for the drafting of contractual documents and subsequent communications between COLBER and the User is French. Contractual documents and certain subsequent communications are also available in English for information purposes only. In the event of a conflict or discrepancy between the English version and the French version, the French version shall prevail.
